Vendor / Client Partnership Agreement

This agreement governs your participation as a client business (“Vendor” or “Client”) on the My-Dish Logistics platform.
1. What My-Dish Provides to Client Businesses
My-Dish Logistics provides client businesses with:
- Access to a standardised, zone-based delivery pricing system
- A managed network of verified delivery riders to fulfil delivery requests
- A client portal for booking, tracking, and managing deliveries
- A dispute resolution process for delivery-related failures
- Real-time status visibility for every order placed through the platform
MyDish coordinates delivery logistics. We are not a food business, retailer, or product originator. We do not prepare, package, or inspect the goods you send through the platform.
2. Your Responsibility for Goods Quality
You are primarily responsible for the quality, safety, hygiene, and fitness of all products you send through the MyDish platform.
By placing a delivery order, you represent that the items being delivered are:
- Fit for consumption or use by the recipient
- Properly and adequately packaged for safe transport by a rider
- Correctly labelled and accurately described in your order details
- Compliant with applicable food safety and consumer protection standards under Nigerian law
Where a customer complaint relates to food quality, contamination, incorrect items, or spoilage that is not attributable to rider handling or platform delay, the liability for that complaint rests with you.
Exception
Where a MyDish rider delay exceeds 45 minutes beyond the agreed delivery window, and that delay is established as the proximate cause of food quality degradation, liability may be shared and determined through the MyDish dispute process.
3. Delayed-Preparation Orders
For orders requiring longer preparation times — custom cakes, catered meals, or any order that will not be ready for pickup within 30 minutes of booking — you must:
- Mark the order as “Custom / Long-Prep” when booking
- Provide an estimated ready time
- Tap “Mark as Ready for Pickup” in your portal when the order is actually ready
Riders are not notified of delayed-prep orders until you mark them as ready. This prevents riders from waiting unnecessarily and ensures your order receives immediate rider attention when it is genuinely ready for collection.
Marking an order as ready when it is not ready, and thereby causing rider delays, is a platform conduct violation.
4. Packaging Standards
All items sent through the MyDish platform must be packaged in a manner that:
- Protects the item from damage during motorcycle or vehicle transport
- Prevents spillage for liquid or semi-liquid contents
- Keeps temperature-sensitive items at appropriate conditions for the expected delivery duration
- Is sealed or secured to prevent tampering
MyDish reserves the right to flag delivery patterns where packaging failures cause repeated customer complaints and to impose packaging standards as a condition of continued platform access.
5. Claim Limits
Where a validated delivery failure occurs and is determined to involve vendor liability (incorrect items, quality failures, inadequate packaging), the maximum reimbursement involvement through the platform's protection system is:
Repeated claim patterns approaching these limits will trigger a formal review of your account.
6. Client Portal Access
Your client account is issued a unique access code. This code is personal to your business account. Do not share it with parties outside your organisation. MyDish bears no responsibility for orders placed using your access code by unauthorised parties.
Access codes may be regenerated at any time by contacting the operator.
7. Pricing
Delivery pricing is determined by MyDish's zone-based pricing engine. The price shown at the time of booking is the price charged. MyDish reserves the right to update zone pricing with notice, effective from the date of update.
Client accounts may be eligible for agreed discount arrangements, applied at the invoice level. These arrangements are separate from the base pricing shown in the platform and require explicit agreement with the operator.
8. Account Conduct & Enforcement
You agree not to:
- Provide false order information to obtain lower pricing classifications
- Misrepresent goods being delivered (e.g. marking dangerous, illegal, or prohibited items as food)
- File false disputes against riders or the platform
- Abuse, threaten, or harass riders or MyDish staff
MyDish reserves the right to:
- Issue formal warnings to your account
- Apply order value caps during review periods
- Suspend your account temporarily
- Permanently delist your business from the platform
- Restrict specific delivery routes associated with repeated failures
Enforcement decisions are documented and communicated. You will have an opportunity to respond before any action beyond a formal warning is taken, except in cases where immediate action is necessary for safety or fraud reasons.
9. Data Ownership
MyDish retains ownership of all operational data generated through your account's activity on the platform — including your delivery history, destination data, customer demand patterns, and route intelligence. You have access rights to your own delivery records. You do not own the platform's aggregated analytics or intelligence.
This data may be used by MyDish for platform improvement, operational intelligence, and strategic purposes. Your business identity and customer data are not shared with third parties or other platform clients.
10. Featured Listings (Phase 2)
MyDish intends to introduce optional paid visibility features for vendor accounts in a future phase of the platform. These features will be offered on transparent, fair terms and clearly disclosed to customers. Participation will be voluntary. Paid visibility will not affect the dispatch priority of your orders — all delivery orders are processed through the same standardised dispatch system regardless of listing status.
11. Staying On-Platform (Non-Circumvention)
11.1 Customer and rider contact details exchanged for a delivery are for that delivery only.
11.2 Soliciting or accepting deliveries off-platform for relationships originated on MyDish — or directing customers or riders to transact off-platform to avoid fees — is a breach of this agreement.
11.3 Remedies escalate: (i) warning, (ii) suspension, (iii) deactivation or blacklisting — each logged against this clause.
11.4 What you lose off-platform: the dispute and reimbursement framework; Protection-Fund cover; OTP + proof-of-delivery; vendor operational-score progression; and (when launched) escrow settlement protection.
